Membership Agreement
Between Ascend Movement & Jiu-Jitsu / Seed & Sprout Nutrition Pty Ltd and our adult and child members

Definitions
Ascend / Seed & Sprout / we / us / our – Ascend Movement & Jiu-Jitsu / Seed & Sprout Nutrition Pty Ltd.
You / your – Means you, the member of Ascend.
Agreement – The agreement between Ascend and you under which you become a member.
Minimum Term – The term specified in the membership agreement.
Rules – The rules regulating the operation of equipment, class schedule, and behaviour within Ascend, including any information specified in signage, printed materials or online.
Gym / Facility – The place where you train or attend classes with Ascend.
Terms and Conditions of Agreement
1. Agreement Formation:
An Agreement arises between us once the membership form has been signed and Ascend accepts the Agreement. This Agreement is governed by the laws of Queensland.
2. Acceptance by Ascend:
If there is any conflict between these written terms and any verbal communication, these terms shall prevail. Failure by us to enforce any rights at any time shall not be deemed a waiver. Ascend has five (5) business days after formation of an Agreement to rectify any administrative errors.
3. Rules and Code of Conduct:
You must comply with all Rules of the gym. It is your responsibility to read and abide by signage, written materials, and staff directions. The following behaviour will not be tolerated and may result in suspension or termination of membership without refund:
Swearing, spitting, or aggressive behaviour;
Participating in training while under the influence of drugs or alcohol;
Misuse or damage of equipment.
Any damage to equipment must be paid for by the responsible member.
4. Membership Entitlement:
As a member, you are entitled to use Ascend’s facilities only during specified class times and for the duration of your membership. Membership is based on entitlement to attend, not actual attendance. Failure to attend does not release you from payment obligations.
5. Membership Hold:
Memberships may be placed on hold for up to six (6) weeks per calendar year with fourteen (14) days’ written notice. Requests must be emailed to [insert Ascend’s current email]. Written confirmation will be provided.
6. Christmas Period and Public Holidays:
Ascend will not operate during the last week of December and the first week of January, nor on public holidays. Membership payments continue during this period as membership is based on a term, not a number of classes.
7. Right of Admission:
Ascend reserves the right to refuse entry to any person and to cancel memberships for behaviour deemed unsafe, threatening, or inappropriate.
8. Fee Payment:
Membership fees are payable in advance. Failure to pay fees may result in suspension until payments are up to date. Members are responsible for any fees incurred from rejected transactions.
9. Membership in Arrears / No Payment Details:
If payment details are invalid or overdue, access will be suspended until the account is settled.
10. Pre-Paid Membership:
Pre-paid memberships are non-refundable.
11. Cancellation / Termination:
Written notice (minimum two weeks) is required to cancel a membership. Notice must be sent via email. Cancellations made on the payment due date may still incur that payment. A $50 re-application fee applies for rejoining.
12. Fee Increases:
Ascend may increase membership fees after the initial term, with one month’s notice provided via email.
13. Alterations to Operations, Rules or Agreement:
Ascend reserves the right to amend operating hours, facilities, rules, or services with one month’s written notice.
14. Change of Details:
Members must promptly notify Ascend of any change to contact or payment details.
15. Seminars, Guest Instructors and Contractor Practitioners:
From time to time, Ascend may host or facilitate classes, workshops, or sessions conducted by guest instructors or independent contractor practitioners (including, but not limited to, yoga, mobility, nutrition, or strength and conditioning sessions).
These contractors operate independently and are solely responsible for the services they provide.
Any claims, losses, or damages arising from an act or omission of such a contractor are to be directed to that contractor, not Ascend.
Ascend assumes no liability for the conduct, advice, or outcomes of any such sessions.
Members acknowledge participation in these optional classes is voluntary and at their own risk.
16. Your Physical Condition:
You represent that you are in good physical condition and have no medical condition preventing safe participation. Ascend instructors are not medically trained and cannot assess individual health conditions. Members should seek medical clearance before engaging in training.
17. Pregnancy:
Members who are or suspect they may be pregnant must notify Ascend immediately and provide written medical clearance to continue training.
18. First Aid:
You consent to basic first aid treatment being administered by staff or volunteers if deemed necessary.
19. Indemnity:
You acknowledge and accept that participation in martial arts, fitness, or related classes carries inherent risk, including but not limited to injury or illness.
You hereby release and indemnify Ascend Movement & Jiu-Jitsu / Seed & Sprout Nutrition Pty Ltd, its instructors, contractors, and volunteers from all liability, loss, or damage (except where caused by gross negligence) arising from participation in any activity or use of the facilities.
20. Membership Term:
Continuing until terminated in accordance with these terms.
